Terms and Conditions

Please read these terms carefully before using our services.

Effective Date: 1st January 2025

These Terms and Conditions ("Terms") govern your use of the website and payment services provided by API Partner Infotech Private Limited ("API Partner", "we", "us", or "our"). By accessing or using our platform, you agree to be bound by these Terms.

1. Definitions

  • "Platform" refers to the API Partner website, APIs, dashboard, and all associated services.
  • "Merchant" refers to any individual or business entity registered on the Platform to accept payments.
  • "User" refers to any person who accesses or uses the Platform.
  • "Transaction" refers to any payment processed through the Platform.

2. Eligibility

To use our services, you must:

  • Be at least 18 years of age
  • Be a legally registered business entity in India (for merchant accounts)
  • Provide accurate and complete KYC documentation
  • Comply with all applicable laws and regulations including RBI guidelines

3. Account Registration

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access or use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Services

API Partner provides the following payment services:

  • Payment Gateway for online payment collection
  • Payment Links for invoice-based collections
  • Wire Payouts for vendor and beneficiary payments
  • Software Solutions for custom payment integrations

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice.

5. Fees and Charges

  • Transaction fees are as per the pricing plan selected during registration
  • Fees are deducted from the transaction amount before settlement
  • We reserve the right to revise fees with 30 days' prior notice
  • All fees are exclusive of applicable taxes (GST)

6. Settlements

Settlements are processed to your registered bank account as per the agreed settlement cycle. Standard settlement is T+1 business day. Settlements may be delayed or withheld in case of suspected fraud, chargebacks, or compliance issues.

7. Prohibited Activities

You agree not to use the Platform for:

  • Illegal, fraudulent, or deceptive activities
  • Sale of prohibited or restricted goods/services
  • Money laundering or terrorist financing
  • Infringing intellectual property rights of others
  • Any activity that violates RBI or NPCI guidelines

8. Chargebacks and Disputes

Merchants are responsible for managing chargebacks and disputes raised by customers. API Partner may debit chargeback amounts from the merchant's settlement or hold balance. Repeated chargebacks may result in account review or termination.

9. Intellectual Property

All content, trademarks, logos, software, and technology on the Platform are the property of API Partner. You may not copy, modify, distribute, or reverse-engineer any part of the Platform without prior written consent.

10. Limitation of Liability

To the maximum extent permitted by law:

  • API Partner shall not be liable for indirect, incidental, or consequential damages
  • Our total liability shall not exceed the fees paid by you in the preceding 3 months
  • We are not liable for losses arising from third-party payment processor failures, banking system downtime, or force majeure events

11. Indemnification

You agree to indemnify and hold harmless API Partner, its directors, employees, and partners from any claims, losses, or damages arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate the agreement with 30 days' written notice. We may immediately suspend or terminate your account if you violate these Terms or engage in prohibited activities. Upon termination, pending settlements will be processed after deducting any outstanding fees or chargebacks.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Jaipur, Rajasthan.

14. Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with a revised effective date. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
